Welcome to SellX. Please read these Terms of Service ("Terms", "ToS") carefully before using the SellX.vip website and service (the "Service") operated by SellX ("us", "we", or "our"). Our Service is a platform that provides tools for users to connect and exchange digital media for money.

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By using the Service, you agree to be bound by these Terms.

1. Accounts & Registration

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. You are responsible for maintaining the confidentiality of your account and password.

2. The Service and Our Role

SellX provides a platform for users to engage in peer-to-peer transactions of digital media ("Content"). We are a neutral technology provider and are not a party to any transaction between users. Our role is limited to providing tools, such as a messaging system, a payment facilitation system, and optional content protection features like forensic watermarking and encryption.

3. Content, Ownership, and Responsibility

You, the Seller, retain all ownership rights to the Content you upload. By selling Content, you grant the Buyer a limited, non-transferable, personal license for viewing that Content, as detailed in the User-to-User NDA template. You are solely responsible for the Content you upload, send, or sell. You must ensure you have the rights to the Content and that it complies with all applicable laws and these Terms.

4. **Crucial Restriction: Single-Recipient License & Distribution Prohibition**

This is a fundamental rule of the Platform. All Content sold on SellX is on a one-to-one basis.

  • A Seller agrees to sell each unique piece of Content to only one Buyer through the SellX platform.
  • A Buyer agrees that any Content purchased is for their personal use only and may not be shared, distributed, re-sold, posted online, or transferred to any other person or entity.
  • Violation of this clause by either party is a material breach of these Terms of Service. It is also a direct breach of the User-to-User NDA between the parties involved.

The forensic watermark feature is a tool provided to help users enforce this rule against each other.

5. Consequences of Violation

If you violate these Terms, we reserve the right, at our sole discretion, to:

  • Immediately and permanently terminate or suspend your account without notice.
  • Forfeit any funds held in your account balance.
  • Cooperate with law enforcement if we suspect illegal activity has occurred.
  • Provide information to other users to assist them in their own legal actions, upon receipt of a valid legal request.
You acknowledge that a breach of these Terms may also make you liable for legal action from the other user involved in your transaction.

6. Payments and Fees

Transactions are processed through a third-party payment provider. For providing the platform and maintaining operational costs, we charge a small percentage fee on each transaction, which is disclosed at the time of the transaction. We are not a bank and do not offer banking services.

7. Prohibited Content and Conduct

You may not upload, sell, request, or engage in any activity that is illegal. This includes, but is not limited to, content that is obscene, defamatory, threatening, infringing on intellectual property rights, or constitutes child sexual abuse material (CSAM). It is your responsibility to ensure your content and conduct are legal. We have a zero-tolerance policy for illegal activity. Any user found to be engaging in illegal activity will be banned, and we reserve the right to report such activity to law enforcement authorities.

8. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of SellX and its licensors.

9. Disclaimer and Limitation of Liability

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. SellX explicitly disclaims all liability for the actions of its users or the content they exchange.

In no event shall SellX, nor its directors, employees, or partners, be liable for:

  • Any conflict, disagreement, or legal dispute between users.
  • The legality, quality, accuracy, or authenticity of user-provided Content.
  • Any unauthorized access, use, or dissemination of Content by a user or a third party (a "leak").
  • Any damages arising from the use of the legal templates (e.g., the NDA) provided on our site. They are for user convenience only and are not a substitute for legal advice.
We provide the tools to facilitate transactions, but the responsibility and liability for those interactions remain with the users.

10. Indemnification

You agree to defend, indemnify and hold harmless SellX and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use of the Service; b) a breach of these Terms; or c) the Content you post, upload, or sell on the Service.

11. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. SellX does not warrant that the service will be uninterrupted, secure, or error-free.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Jurisdiction of Company Registration], without regard to its conflict of law provisions.

13. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms taking effect.
